Any strategy to help companies achieve their objectives is best formed within the context of effectively identifying and managing risks.  Whether it be performing a defensible valuation, issuing a transaction opinion, or successfully transitioning ownership to the next shareholder group; certain risks cannot be entirely eliminated through structure and innovative design.  In those instances, we are able to mitigate their impact through the procurement of the appropriate funding vehicles.

ESOP Repurchase Obligation

  • This analysis provides stakeholders with a view of the financial impacts of various strategic paths and assists in developing financial strategies to enhance shareholder value. This is especially true for ESOP companies as repurchase obligation is a unique claim on future cash flow.  Our clients need to factor the ESOP repurchase obligations into long range financial planning to effectively gauge, manage, and fund the impact on the company and the ESOP.
  • Chartwell’s approach results in a dynamic, interactive analysis that provides business leaders, decision makers, and fiduciaries a robust and relevant analysis which integrates the company’s strategic plan, the ESOPs funding requirements, and non-ESOP shareholder financial requirements.

Reward and Retention of Executive Leadership

  • Effective design and funding of executive benefit programs can mitigate the risks associated with a loss of leadership due to leaving the organization, death or disability, and even disengagement.

Proper Provisions for Ownership Transitions

  • For the private company, we conduct a thorough assessment of ultimate ownership continuity objectives, estate liquidity needs, appropriate buy/sell arrangements, and effective transfers of stock.
  • For the leveraged company, we can mitigate the risk related to bank debt and seller notes, and provide assurance of organizational stability in the event of the death, departure, or disability of a stockholder or key business leader.
